Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern access to and use of SmartSupply, a billing portal operated by Big Vision Ventures, LLC (“we”, “us”, “Company”). The Site includes smartsupplyapp.com, related subdomains, and each Supplier’s Portal Host (including a verified custom domain).

By creating an account, completing supplier setup, clicking “I agree” (or a similar checkbox), or using the service, you agree to these Terms on behalf of yourself or the entity you represent, and you confirm that you have authority to do so. You must be at least 18 years old to use SmartSupply. If you do not agree, do not use the service.

These Terms bind marketing-site visitors, people acting for a Supplier Org, and Customer Contacts using a branded portal. A Customer Contact’s commercial relationship for goods, services, taxes, and collections remains with that Supplier. We are not the merchant of record for Customer invoices.

2. The service

SmartSupply lets a Supplier Org import accounts-receivable data, invite customer contacts, and collect invoice payments on a branded portal. We provide the software and payment-orchestration platform. We are not your bank, your ERP, or the merchant of record for your customer invoices.

3. Accounts and organizations

An “account” is your login to SmartSupply. You can have an account whether or not you belong to an Org. You must provide accurate registration information and keep access to your account secure. You are responsible for activity under your login credentials.

An Org is a tenancy boundary (admin, supplier, or customer). People invited as Org Members act on that Org’s behalf. A Supplier Org is responsible for its Org Members’ use of SmartSupply.

4. Supplier responsibilities

If you use SmartSupply as a Supplier Org, you are responsible for:

  • the accuracy of customers, invoices, and other data you import;
  • your relationship with your customers, including your own contracts, taxes, and collections practices;
  • configuring payment processing and remaining Checkout-ready before inviting contacts who need to pay;
  • domains, branding, and mail identity you attach to the portal.

5. Customer portal use

If you access a Supplier’s portal as a Customer Contact, you may view and pay invoices that supplier has made available to your Customer Org. You must use only credentials issued to you and must not attempt to access another Org’s data.

6. Payments and fees

Invoice payments are processed by the Supplier’s connected payment processor. We charge a Platform Fee on those payments as disclosed during setup and in the product. A Supplier may also add a Convenience Fee for end Customers. A Supplier Org may owe a Supplier Subscription for access to the app, as disclosed in the product.

Processor fees, refunds, failed charges, and payout timing are governed by the processor’s terms as well as these Terms. Additional fees charged by the payment processor are not included in the Platform Fee. We may change Platform Fees and Supplier Subscription prices with notice in the product. A Convenience Fee is set by the Supplier and is that Supplier’s charge, not ours.

7. Acceptable use

You may not misuse SmartSupply, including by breaking the law, infringing others’ rights, probing or disrupting the service, or submitting malware or deceptive content. We may suspend or terminate access if we reasonably believe these Terms have been violated.

8. Intellectual property and business data

SmartSupply, the Site, and our marks, software, and documentation are owned by Company or its licensors. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the service for your internal business purposes as a visitor, Supplier Org, or Customer Contact. They do not transfer ownership of our intellectual property.

Customer, Contact, Invoice, and Payment records a Supplier imports or generates through the portal remain that Supplier’s business data as between the Supplier and us. We receive a limited license to host, process, transmit, and display that data solely to provide, secure, and improve the service, and as described in our Privacy Policy.

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or attribution. Do not submit feedback you consider confidential.

9. Data and privacy

Our Privacy Policy describes how we handle personal information. If these Terms and the Privacy Policy conflict on collection or processing of personal information, the Privacy Policy controls.

10. Supplier indemnification

If you use SmartSupply as a Supplier Org, you will defend, indemnify, and hold harmless Company and its officers, employees, and agents from claims and reasonable costs (including attorneys’ fees) arising out of (i) data you import or instruct us to process, (ii) your relationship with your customers, including taxes, collections, and your own contracts, (iii) branding, domains, and mail identity you attach to the portal, (iv) your payment-processor setup, or (v) your or your Org Members’ violation of these Terms or applicable law. Customer Contacts and visitors have no indemnification obligation under this section.

11. Disclaimers

SmartSupply is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted or error-free operation, or that imported ERP data or payment outcomes will be complete or timely.

12. Limitation of liability

To the fullest extent permitted by law, Company will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption.

If you use the service as a Supplier Org (or an Org Member acting for one), our aggregate liability for claims relating to the service will not exceed the Platform Fees less payment processor fees and Supplier Subscription fees that Supplier Org paid us in the six months before the claim.

If you use the service as a Customer Contact or a visitor, you have not paid us those fees, and to the fullest extent permitted by law our aggregate liability to you for claims relating to the service is $0.

13. Term and termination

These Terms apply while you use the service. We may suspend or terminate access (including an account) if we reasonably believe you have violated these Terms or to protect the service or other users. Accrued payment, processor, and indemnification obligations survive termination. Sections 7–16 survive.

14. California consumer notice

Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice: The provider of SmartSupply is Big Vision Ventures, LLC, 1032 E Brandon Blvd #3210, Brandon, FL 33511. 15. Governing law

These Terms and any dispute arising out of them or the service are governed by the laws of the State of Florida, without regard to conflict-of-law principles. You and Company consent to exclusive jurisdiction and venue in the state and federal courts located in Orange County, Florida. Either party may still seek injunctive relief in any court of competent jurisdiction to protect intellectual property.

16. Changes and contact
